Sharpsoft, Luc Baumann. Version 2.0 of 8 October 2026. Supplements the GTC. The scope stated in the quote is authoritative. All prices are final prices in CHF; Sharpsoft is not subject to VAT.
Terminology: a change is what the GTC call a “change request”.
1. The plans at a glance
Buy the website and run it yourself: Onepager CHF 790, up to 6 pages CHF 1'490, with repository. This is intended for customers who never want to host their website with Sharpsoft. As with the setup, the draft is free of charge, and you only pay on approval of the finished website; if you cancel before then, it costs you nothing, and the cancellation stages in section 4 do not apply (GTC clause 4.2). After that you run the website yourself or with a provider of your choice; changes are available by fixed-price quote.
2. What the setup includes (Basis and Plus)
Technology: fast, static websites without WordPress or any other CMS. This means hardly any security vulnerabilities and little maintenance. You change content by requesting changes in the portal.
- Scope: Onepager = one page with up to 6 sections; up to 6 pages = up to 6 subpages. Additional pages during setup cost CHF 90 per page, in all booked languages.
- Design: matched to your corporate identity, built for smartphone and computer.
- Texts: written from your keywords or taken from the old website and revised.
- Google basics: page titles and descriptions, structured data (address, opening hours), sitemap, setup in Google Search Console, Google Business Profile linked, if available.
- Contact and technology: contact form with spam protection, HTTPS, legal notice based on your details, integration of your privacy policy; we provide you with the paragraph on hosting (where your website runs, server logs) as a text module for it.
- Takeover: moving the content of your existing website, redirects of the old addresses so that your Google rankings are preserved.
- Email records: DNS records for your existing email (section 11).
- Process: free draft before the order; you upload content in the portal, review the finished website in the test environment and approve it. Only then do you pay. If you cancel before then, it costs you nothing (GTC clause 4.2). The cancellation stages in section 4 apply to changes, not to the setup.
Second language: one-time +CHF 190 (Onepager) or +CHF 390 (up to 6 pages). AI translation included, you review the text. Corrections you report during the review or within 14 days are free. Each change counts once for both languages, the translation is included in the price. With Individual, the second language is the module at CHF 690.
Option “AI with data processing agreement”: available in every quote. With this option, the AI agents process your changes exclusively via a business account with Anthropic covered by a data processing agreement (DPA) (standard contractual clauses with Swiss addendum). It costs +25% on plan, setup and changes, because the AI costs are higher there. If you do not need a data processing agreement (DPA) with the AI provider, leave the option out and pay the list price. The agents then work with an Anthropic account in which training on your data is switched off. In both cases: please do not enter any confidential data in the portal or via the interface (GTC clause 4.8). Can be selected or deselected at any time, effective from the next billing period.
Embeds and order form: booking, reservation, map and social media embeds as well as an order form without payment (the order reaches you by email, without inventory and without customer account) count as static and run in Basis and Plus. During setup they are included; later they are a medium change (or a new page if they get a page of their own). You pay any fees of the third-party service there. Payment, shopping cart, login, database, custom booking logic and integrations with other systems are always Individual.
3. Sizes of changes
A change has one goal, for example “new opening hours everywhere”. The same piece of information in several places (opening hours, phone, address, a price) counts as one change.
Splitting: If you write several independent things in one message, the agent splits them into separate changes before pricing and tells you so. Rule of thumb: if a part also makes sense on its own, it is a separate change. Example: “update prices, opening hours, team photos and text on 4 pages” are four changes. You can accept or reject each one individually.
When in doubt, the smaller size applies. If a change exceeds the limit, the agent chooses the solution that is cheaper for you: one size up or several changes.
Large changes in Basis and Plus: The agent quotes them at a fixed price using the Individual module catalogue (section 9). Only if that is not possible does Luc review; this costs nothing, and the portal shows “waiting for Luc” (section 5). If the quote requires Luc's personal work, you first see the quarter hours and the price and decide for yourself. Anything with a backend is Individual.
4. How a change works
- You write your change in the portal. The agent asks follow-up questions if something is unclear.
- You see the fixed price before anything happens: included or a fixed amount.
- Work starts only after your yes. After your yes, the price no longer changes. The only exception is an obviously wrong price: in that case we correct the quote, and you can reject the corrected quote without incurring any costs. This notice appears on every quote.
- Development (dev): The agent implements the change, automated tests check the entire website.
- Preview (test): You see the change in advance and approve it. If you do not need this, you switch this step off in the portal.
- Online (prod): The change only goes onto your website after passing the tests.
- Each change includes two preview rounds. A third round is a new small change with the price in advance. If the result deviates from what was agreed, that is a defect and free of charge.
- Defects: We fix errors in a change that you report within 14 days free of charge.
- Changes are implemented one after another, in the order of your acceptances.
- Cancelling: You can cancel any accepted change at any time, including a quoted large change and even after your yes. You only pay for the work already done, depending on progress: only follow-up questions, nothing built yet 0%; implementation in progress 50%; finished and tested, preview not yet shown 80%; preview shown 100% of the fixed price, in whole francs. You see the amount in the portal before you confirm the cancellation (GTC clause 4.2). This applies to changes in Basis and Plus and to changes at catalogue price. For the setup of your website in Basis and Plus and for the purchase of a website without operation, the stages do not apply: you only pay on approval, and cancelling before then costs nothing (sections 1 and 2). With Individual (setup, features, backend), the cancellation rule is set out in the respective quote.
- For new pages and quoted large changes, Sharpsoft may withdraw before going live, at no cost to either party.
- More for an extra charge is possible in every plan, always with the price in advance and only after your yes. There is no silent invoice and no lock-out.
5. How fast it goes
- The AI agents answer your request quickly as a rule.
- After your yes, the change is implemented, tested and made ready for your review.
- If Luc needs to review: If a change requires a review by Luc, he is notified immediately and usually gets back to you quickly. The portal then shows “waiting for Luc”. This costs nothing. If Luc's personal work is needed, you first see the quarter hours and the price and decide for yourself. If you say no, the change is dropped at no cost, or the agent offers what can be done without Luc.
- This is the normal case, not a contractual commitment: there is no SLA and no guaranteed response times. All plans work equally fast.
Interface for your own tools (REST API and MCP): Everything you do in the portal can also be done via a REST interface and via an MCP server, for example from your own software or from your AI assistant: submit changes, answer follow-up questions, view and accept quotes, approve previews, retrieve invoices and the source code. To do so, you create API tokens in the portal, optionally read-only, and revoke them at any time. Included in all plans. The same prices and rules apply as in the portal: fixed price in advance, work only starts after your yes; whatever is done with your token counts as your declaration (GTC clause 3.4). Please do not send confidential data via the interface either. Whatever you send to the interface via your AI assistant is also seen by the provider of your assistant; its terms apply to that.
6. Billing quarter and prices in Basis
- Billing quarter: Your contract year starts on the day of going live and has four quarters of three months each, each starting on the same calendar day. Example: going live on 25 March, quarters 25.3.–24.6., 25.6.–24.9., 25.9.–24.12., 25.12.–24.3. All counters and invoices run on this grid.
- Price of a change in Basis, the time of your yes is decisive:
- The first 60 days: up to 16 small and medium changes free. The included small change of the first quarter remains unused during this time.
- Included: after that, the first small change of each quarter, not transferable.
- Catalogue price: all other changes, small CHF 40, medium CHF 120, new page CHF 190, no upper limit. New pages always cost CHF 190, even in the first 60 days.
- The quote always shows the price that applies at your yes. If it changes before then (e.g. because a new quarter begins), you see the new price before you say yes.
7. Plus: usual use and menu channel
- Included: small and medium changes, 1 new page per quarter (not transferable), menu channel and monthly report.
- Usual use: up to 24 small and medium changes per quarter. The counter is shown in the portal (“9 of 24 this quarter”). Beyond that, each further change costs CHF 30 (small) or CHF 90 (medium), each further new page CHF 150, always with the price in advance and after your yes. There is no lock-out and no automatic invoice.
- Menu channel: You send a daily, weekly or seasonal menu (including prices) for the existing menu section as a photo, PDF or email. It goes online without a quote and without a preview, but automatically tested, usually on the same day. It does not count towards usual use. If the menu section is redesigned, that is a medium change.
8. Switching between Basis and Plus
- Offer in the quote: If Plus pays off for you, the quote shows you two equivalent options side by side: order the change at the Basis price or switch to Plus (the change is then included). A line with your figures is added. This happens when your Basis changes of the last 3 months together with this quote reach CHF 242.25, or when you order a new page and the rest of the quarter in Plus costs less than CHF 190. We show this at most once per quote, without email and without reminder.
- Note on the quarterly invoice: If you would have saved with Plus, the quarterly overview states “With Plus you would have saved CHF X this quarter. You can switch at any time.” There is no automatic discount.
- Basis to Plus: at any time. Plus starts on the day of the switch. The first invoice covers the rest of the current quarter pro rata: CHF 242.25 × remaining share, at least one month (CHF 80.75). The CHF 24.75 per quarter are your already paid Basis year; they are credited as long as it runs, but not paid out. Changes already paid for are not charged again retroactively.
- Plus to Basis: at the end of any quarter, by click up to the last day of the quarter. If your paid Basis year is still running, Basis costs nothing more until the anniversary date; otherwise CHF 24.75 per quarter until the next anniversary date, then CHF 99 per year. A new fixed year does not begin.
- Season: Plus in summer, Basis in winter is allowed.
- Plus annually (CHF 1'068): from the start of a contract year; the switch to Basis then takes effect at the end of the paid year.
9. Individual
For online shops, booking systems, customer login, integrations with existing systems and migrations. Anything with a backend is Individual.
Fixed-price quote:
- Setup: sum of modules × complexity factor K, + 15% risk surcharge for a legacy system or migration without paid analysis, rounded to CHF 10.
- Complexity factor K: 1.0 standard; 1.2 for many variants or roles (several user roles, custom booking or pricing rules, products with variants); 1.4 for a legacy system without a documented interface. The highest applicable value applies. Language never counts via K, only as a module.
- Analysis phase: fixed price CHF 490 (without legacy system) or CHF 990 (with legacy system). Result: requirements, interface description and fixed-price quote; it belongs to you. Fully credited if the order follows within 3 months. Recommended from K 1.4 or for a setup above CHF 8'000. The analysis removes the risk surcharge.
- Cancellation: The cancellation rule for the setup and for quotes for features is set out in the respective quote. Changes at catalogue price follow the stages in section 4.
- Luc review: Luc's review during the project (architecture, acceptance of milestones) is listed separately in the quote, as quarter hours × CHF 40, only with your consent.
- Milestones and payment: 30% on acceptance, 40% on acceptance of the first milestone in the test environment, 30% on acceptance of the finished solution. Below CHF 3'000 (without Luc review): 50 / 50. A paid analysis is deducted from the first instalment.
Modules (CHF):
Monthly price: base price CHF 179 (operation on prod, daily external backup, monitoring, updates, regression tests before every go-live, test environment when needed, fixing of outages caused by Sharpsoft)
- infrastructure S / M / L CHF 20 / 40 / 80 + optional always-on test environment CHF 15 + CHF 50 per monitored
interface (legacy system, calendar, ERP; hosted payment page 0). At least CHF 199 per month.
Changes with Individual:
- Content without flat rate: small CHF 40, medium CHF 120, new page CHF 190.
- Change flat rate 1: +CHF 150 per month, per quarter up to 9 small and 3 medium changes included.
- Change flat rate 2: +CHF 350 per month, per quarter up to 24 small and 7 medium changes included.
- Flat rates are not transferable and cannot be converted between sizes. Beyond them, CHF 30 / 90 / 150 apply.
- Features and anything in the backend: fixed-price quote. Luc's time is never included in a flat rate.
Operation: best effort, target 99.5% availability per month (up to about 3.6 hours of downtime), without guarantee and without SLA. Payments in the shop run only via hosted payment pages with your own contract with the payment provider. Every quote includes a data processing agreement (DPA).
Framework: operation quarterly in advance, 12 months fixed, then can be terminated with effect from the end of any quarter. We pass on increases by the hosting provider with 3 months' notice, with a right of termination.

10. Personal work by Luc and phone
- Only if you want it: Personal work only happens if you book it in the portal (“Personal review by Luc”, “Call with Luc”) or agree to a proposal with quarter hours and price. Typical cases are Individual, a legacy system, a change outside the catalogue or a complaint.
- Price: CHF 160 per hour, billed per quarter hour or part thereof (CHF 40), also on site, on the phone and for travel time. Never included in any other price. Not around the clock.
- Phone: Before the contract is concluded, calls of up to 30 minutes are part of the quote and cost nothing. After that, phone calls with Luc are personal work, booked or agreed in advance.
- Language: portal, quotes and invoices in German or French. Luc replies personally in writing, except in calls before the contract is concluded (up to 30 minutes) or if you book a call.
11. Operation, email and domain
Operation (all plans):
- Where your website runs: We choose the appropriate hosting for each website. Static websites with normal traffic run on Google Firebase Hosting (global CDN, Google LLC or Google Cloud EMEA Limited, Ireland), which delivers them via its worldwide network. Websites with a backend or a lot of traffic run on a server that we operate ourselves, in Switzerland or in the EU. A switch between the two costs you nothing, your domain and address stay the same. You can see where your website runs in the handover information. If you want a guaranteed location in Switzerland, we are happy to arrange it; this is more expensive and quoted individually.
- HTTPS certificate with renewal.
- Daily backup, separate from the server, kept for at least 14 days; with Firebase Hosting, the complete state is also available in your repository at all times.
- Automatic updates and fixing of security vulnerabilities, about once a month, for critical vulnerabilities usually within 7 days. Every update is automatically tested on dev and normally then automatically rolled out to prod. You can switch this off in the portal (opt-out); each update then waits on test until you approve it. Included in all plans, even major updates (e.g. a new major version of a framework including the necessary rework); never counts as a change. This keeps your website up to date.
- Monitoring with automatic restart around the clock.
- Best effort: no guaranteed availability, no SLA, no contractual penalty.
Traffic: Normal traffic is included. If Firebase Hosting incurs costs above Google's free quota, we charge them as a separate invoice item, at most CHF 10 per month and website. If it would be more, we ask you first: you cover the costs, we move the website to our server, or we limit the traffic (e.g. by moving large files elsewhere). Without your consent we never charge more than CHF 10 per month. On our server, traffic is included in the plan price; with Individual, the infrastructure tier in the quote applies.
Email: We do not host email. Before the switch-over, we show you where your email is currently hosted. Your addresses only keep working if your existing email service remains in place. If your email is with your current web host, you keep a pure email package there (usually CHF 2–5 per month) or switch to Google Workspace (price as per Google). You pay the costs directly to the provider. Sharpsoft only sets the DNS records (MX, SPF, DKIM, DMARC), included in the setup; a later change to them is a small change.
Domain: It is registered in your name. Your registrar's fee (approx. CHF 10–20 per year) is not included.
12. Your source code and exit
Your website belongs to you. You receive the complete source code with instructions at any time. Any IT service provider can continue working with it. You are never tied to Sharpsoft.
- The entire source code is always on GitHub. In addition, you can download it at any time in the portal, or we give you and your IT people access on GitHub (read access to the main branch and all our working branches).
- It is one repository with everything that belongs to your website: code, texts, images, tests, instructions for build and deployment, list of third-party licences. With Individual also backend code, database schema and the configuration for deployment; you can download the data export (database and files) at any time in the portal.
- Handover information: In the portal you can see at any time everything you need for an immediate switch without us: repository and GitHub access, domain and DNS details, instructions for build and deployment, data export, description of the hosting and a list of third-party services and accounts in your name. The same information is also stored in your GitHub repository (instructions and handover file), so that it remains available even if the portal cannot be reached.
- Exit: We transfer the repository to your GitHub account and, on request, switch the DNS records to the new provider. Transfer, data export and DNS switch-over are free of charge. Further help with the move costs CHF 40 per quarter hour or part thereof, only with your consent and with the price in advance. There is no exit fee and no clawback. 30 days after the end of the contract we delete our copies.
- If Sharpsoft shuts down: Notice at least 3 months in advance; hosting then continues for at least 6 months, changes in the first 3 months as usual; you get back prepaid time no longer provided pro rata. The move is normally free of charge, for websites with and without a backend. If additional effort arises, it is charged after prior agreement at CHF 40 per quarter hour or part thereof. If Luc dies or is permanently incapacitated, everything keeps running as long as possible; a person designated by Luc informs you and asks you to move as quickly as possible. Thanks to the handover information this can be done immediately; there is then no fixed deadline. Details on the page “What happens if Sharpsoft shuts down?”.
- Not included: Sharpsoft's own platform (portal, agents), our server and provider accounts and secrets such as passwords. You receive a list of the required settings.
Footer: “Website by sharpsoft.ch” with a link, as long as Sharpsoft operates the website. After switching to another host you may remove it; on request we remove it before the handover.
13. Payment
- Payment method: QR-bill (30 days net), without surcharge. The Basis year and Plus quarterly by QR-bill; changes at your yes or collected on the quarterly invoice, as you choose in the portal. We announce further payment methods such as card or TWINT in advance, likewise without surcharge.
- Late payment (days after due date): payment reminder after 5 days, first and second formal reminder after 20 and 35 days. Invoices, payment reminders and formal reminders always arrive by email and in the portal; you cannot unsubscribe from them, nor from the email with your access link. You can unsubscribe from all other emails. From the first formal reminder onwards, new changes are only implemented after payment. After that, following an announced deadline, a temporary switch-off takes place in accordance with the GTC, with a neutral page (“This website is temporarily unavailable”). The website never mentions a payment or a debt. After payment, the website goes live again. Your code and your domain always remain yours.
14. Term, termination and price adjustment
- Basis: one year in advance; can be terminated at any time with effect from the end of the paid year.
- Plus: can be terminated with effect from the end of any quarter or switched to Basis; Plus annually with effect from the end of the paid year.
- Individual: 12 months, then at the end of any quarter.
- Termination by click in the portal or in text form (GTC clause 13.2). Reminder 6 weeks before each annual renewal.
- Refund: If you terminate before the end of the paid period, we generally do not refund amounts already paid. In justified cases we agree a pro rata refund with you. If Sharpsoft terminates or Sharpsoft shuts down, we refund time no longer provided pro rata.
- Price adjustment: with 3 months' notice, with a special right of termination. Accepted fixed prices do not change (except in the case of an obviously wrong price, section 4).
15. Referral
Anyone who recommends Sharpsoft receives a CHF 50 credit as soon as the recommended business has paid its first invoice.
16. Not included
- Email hosting, mailboxes, migration of old emails and setup of devices (mailbox and devices only as personal work on booking).
- AI agents, chatbots and AI assistants on your website or in your solution, including embedded third-party chatbot services. We decline such orders. Our own agents work internally only.
- Custom design (new layout of the whole website): only as a large change by fixed-price quote.
- Legal texts: the legal notice is created from your details, you provide the privacy policy (you get the paragraph on hosting from us as a text module); with Individual, the module “Legal” is available as a template. No legal advice.
- WordPress and other CMS.
- Domain fees and fees for third-party services.
- Guarantees regarding Google rankings, visitor numbers, response times or availability.
