Sharpsoft, Luc Baumann. Version 2.12 of 3 November 2026. Supplements the GTC. The scope stated in the quote is authoritative. All prices are final prices in CHF; Sharpsoft is not subject to VAT. Features marked “in preparation” are not yet available; until then GTC clause 4.1 applies.
Terminology: a change is what the GTC call a “change request”.

Buy the website and run it yourself: Onepager CHF 790, up to 6 page types CHF 1'490, with repository. This is intended for customers who never want to host their website with Sharpsoft. As with the setup, the draft is free of charge, and you only pay on approval of the finished website; if you cancel before then, it costs you nothing, and the cancellation stages in section 4 do not apply (GTC clause 4.2). After that you run the website yourself or with a provider of your choice; changes are available by fixed-price quote.
2. What the setup includes (Basis and Plus)
Technology: fast, static websites without WordPress or any other CMS. This means hardly any security vulnerabilities and little maintenance. You change content by requesting changes in the portal.
- Scope: Onepager = one page with up to 6 sections. Up to 6 page types = up to 6 differently designed pages; a page type is a template, for example home, offer, team, contact or news. The entries of a collection (news or blog, events, gallery, courses, team) do not count: their number is not limited. The setup covers at most 6 page types; if the website needs more, each further one is added after going live as a new page at a fixed price (section 3). There are no prices per page.
- Design: matched to your corporate identity, built for smartphone and computer.
- Texts: written from your keywords or taken from your existing website's content and revised.
- Google basics: page titles and descriptions, structured data (address, opening hours), sitemap, setup in Google Search Console, Google Business Profile linked, if available.
- Contact and technology: contact form with spam protection, HTTPS, legal notice based on your details, a template for your privacy policy with the paragraph on hosting (where your website runs, server logs). The template is not legal advice; you check and complete it and approve it (GTC clause 6.4).
- Takeover of your existing website's content: We take over the content, not the old technology: all publicly accessible texts, images, documents, contact details, opening hours and posts go into your new website in the new design. The texts are rewritten to fit it and corrected; numbers, names, addresses, phone numbers, prices, dates and quotes stay unchanged and are checked automatically. If a text cannot be rewritten without changing facts, we take it over word for word. The old addresses redirect as long as your domain points to the new website. Included are up to about 100 pages and posts and 2 GB of images and documents; more by fixed-price quote. Images are taken over as JPG, PNG, GIF, WebP or SVG and documents as PDF. Not included are content behind a login, websites that load their content only in the browser, and files in other formats (such as Word, Excel, PowerPoint, ODT, RTF, AVIF, BMP or TIFF); you send these to us yourself. What was taken over and what was not is shown on the page “Übernahme” (takeover) of your draft. The content is copied by our program “SharpsoftTakeover”, which is how it identifies itself to your website’s server: it fetches only publicly accessible addresses, one after the other and at least one second apart, only reads and submits nothing. It reads a robots.txt only to find the sitemap there and does not apply its rules, because it is not a search engine and copies only the website being taken over: for a takeover with your consent in the customer portal, for a free draft on Luc Baumann’s decision.
- Email records: DNS records for your existing email (section 11).
- Process: free draft before the order; you upload content in the portal, review the finished website in the test environment and approve it. Only then do you pay. If you cancel before then, it costs you nothing (GTC clause 4.2). The cancellation stages in section 4 apply to changes, not to the setup.
Further languages: each further language one-time CHF 99, for any size; included in Plus. AI translation included, you review the text. Corrections you report during the review or within 14 days are free. Each change counts once for all languages, the translation is included in the price. With Individual, the second language is the module at CHF 690.
AI provider: The AI agents use Claude by Anthropic. As standard, they run via an account of Sharpsoft with Anthropic without a data processing agreement; Anthropic then processes your data as an independent controller under its own privacy policy. Sharpsoft undertakes to keep the use of your data for training switched off in this account (GTC clause 4.8).
Option “AI with data processing agreement”, on request: With this option, the AI agents process your changes exclusively via a business account with Anthropic covered by a data processing agreement (DPA) (standard contractual clauses with Swiss addendum). It costs +25% on plan, modules, setup and changes, because the AI costs are higher there. Sharpsoft sets up the business account after your order and tells you from which day the option applies; only from then does it cost the surcharge. Can be deselected effective from the next billing period. In both cases: please do not enter any confidential data in the portal or via the interface (GTC clause 4.8).
Embeds and forms: booking, reservation, map and social media embeds as well as forms are part of Basis and Plus. During setup they are included; later they are a medium change (or a new page if they get a page of their own). You pay any fees of the third-party service there.
Forms with storage (in preparation, expected mid-November 2026): registration, contact or order without payment (without inventory and without customer account). Sharpsoft stores the entries; you see them in the portal as a list, download them as CSV and print a report (A4 or PDF). Included per website are up to 5 forms and 1000 entries per month. Payment, shopping cart, logins for visitors, a database of your own, custom logic or booking logic and integrations with other systems are always Individual, except the Shop module (in preparation), the Appointments module (in preparation) and the Reservations module (in preparation).
Shop module (in preparation): a shop on your website, with no fee per order. Per year up to 100 products CHF 99, up to 500 products CHF 199, above that CHF 100 more for each further started 1'000 products; in Plus up to 500 products are included, above that CHF 100 per year for each further started 1'000 products. The module is the running shop: orders, stock and what you set yourself in the portal.
- What it includes: product list and product pages (two of the up to 6 page types; a one-pager has no shop), shopping cart and ordering with a summary before “Order with obligation to pay”, the confirmation by email (with the QR bill for prepayment) and a link to the order’s status page (there are no customer accounts). In the portal you see the orders (New, Paid, Shipped, Cancelled), set the stock and download a CSV file or a delivery note.
- Payment: prepayment by QR bill to your own account. You see the incoming payment with its reference in your e-banking and mark the order as paid in the portal. After 7 days, an email reminds the buyer of the payment; unpaid orders are cancelled automatically after 14 days (can be switched off in the portal). You can also let buyers pay online: card and TWINT through your own Stripe account, PayPal through your own PayPal business account. You connect each provider in the portal and switch each payment method on or off there. An order paid online shows as paid in the portal without any action on your part; an order with online payment that is not paid is cancelled after its payment page has expired. With each provider you use, you have a contract of your own and bear its fees; payouts, refunds and disputes run through your account with that provider. Sharpsoft receives no money and charges no fee on payments.
- Limits: physical products at fixed prices, delivery only to Switzerland, up to 500 orders per month. More than 10'500 products only by quote. Customer accounts, B2B prices, integrations with a merchandise management or warehouse system, marketplaces and delivery abroad need a backend of their own and are Individual.
- Changes: You set the stock and “sold out” yourself in the portal, free of charge. The agent enters new products, prices and shipping options for you as a change at a fixed price (section 3); in Plus it counts among the included changes and their usual extent (section 7). The shop is agreed at setup; for an existing website it is available on request, by quote.
- Your role: You are the seller. Prices, order terms (Sharpsoft supplies a template), delivery, warranty and taxes are up to you (GTC clause 12.14).
Reservations module (in preparation): reservations on your website, for CHF 99 per year, included in Plus, with no fee per reservation.
- What it includes: a reservation page for time slots (for example a table for two hours), nights (rooms, a holiday flat) or whole days, with your opening hours, places and rules (how far ahead, until when it can be cancelled online). Guests see only free times. A reservation is confirmed at once or, if you choose so, a request that you confirm or decline in the portal. Guests receive every message by email with a link through which they see and cancel their reservation (there are no customer accounts). Extra fields as in the forms.
- In the portal: the requests and the upcoming reservations by day, for printing and as a CSV file; blocking times (holidays, an event, a reservation by phone) and releasing them again; cancelling.
- Prices: prices are information only, payment is made on site. Online payment and deposits are not included.
- Limits: up to 5 reservation offers per website (for example tables and rooms). Customer accounts, online payment, synchronisation with calendars or booking platforms, integrations and custom booking logic are Individual.
- Changes: New opening hours, a new table or a new price is a small change; you set blocks yourself in the portal. The reservations are agreed at setup; for an existing website they are available on request, by quote.
- Your role: You are the host. Your offer, prices, cancellation terms and the answer to requests are up to you (GTC clause 12.15).
Appointments module (in preparation): appointments on your website, for CHF 99 per year, included in Plus, with no fee per appointment. It works like the reservations above, with your services (for example a women's cut, 60 minutes) and staff: your customers choose the service, the person and a free time; you see the appointments in the portal. Limits, changes and your role as for the reservations (GTC clause 12.15).
3. Sizes of changes
A change has one goal, for example “new opening hours everywhere”. The same piece of information in several places (opening hours, phone, address, a price) counts as one change.
Splitting: If you write several independent things in one message, the agent splits them into separate changes before pricing and tells you so. Rule of thumb: if a part also makes sense on its own, it is a separate change. Example: “update prices, opening hours, team photos and text on 4 pages” are four changes. You can accept or reject each one individually. Several changes that together amount to a large change (for example a new layout page by page) count as one large change if you make them within 30 days; the agent tells you so before the price (GTC clause 12.2).
| Size | What it covers | Examples |
|---|---|---|
| Small | existing content changes, no new building block | replace or add text up to about 150 words; change one piece of information everywhere; swap or add up to 10 images; up to 20 lines of a list or menu; replace a PDF, change a link, show or hide a notice, add or remove a person in the team |
| Medium | new or reworked building block on an existing page | new section (text from keywords up to about 600 words); gallery up to 30 images; menu or price list rebuilt (free with the menu service, section 7); form; embed; new text for an entire page; text change over 150 words |
| New page | additional subpage with its own menu entry, with a new or an existing page type | up to about 600 words and 15 images, texts from keywords and all booked languages included. A new entry in an existing collection (post, event, album, course, person) is not a new page but small or medium, depending on its size |
| Large | only by fixed-price quote | new feature; new design or layout of the whole website; rework of more than one page in one go; shop beyond the Shop module (in preparation), reservations beyond the Reservations module (in preparation), appointments beyond the Appointments module (in preparation), login, payment, integration |
- Size
- Small
- What it covers
- existing content changes, no new building block
- Examples
- replace or add text up to about 150 words; change one piece of information everywhere; swap or add up to 10 images; up to 20 lines of a list or menu; replace a PDF, change a link, show or hide a notice, add or remove a person in the team
- Size
- Medium
- What it covers
- new or reworked building block on an existing page
- Examples
- new section (text from keywords up to about 600 words); gallery up to 30 images; menu or price list rebuilt (free with the menu service, section 7); form; embed; new text for an entire page; text change over 150 words
- Size
- New page
- What it covers
- additional subpage with its own menu entry, with a new or an existing page type
- Examples
- up to about 600 words and 15 images, texts from keywords and all booked languages included. A new entry in an existing collection (post, event, album, course, person) is not a new page but small or medium, depending on its size
- Size
- Large
- What it covers
- only by fixed-price quote
- Examples
- new feature; new design or layout of the whole website; rework of more than one page in one go; shop beyond the Shop module (in preparation), reservations beyond the Reservations module (in preparation), appointments beyond the Appointments module (in preparation), login, payment, integration
When in doubt, the smaller size applies. If a change exceeds the limit, the agent chooses the solution that is cheaper for you: one size up or several changes.
Large changes in Basis and Plus: The agent quotes them at a fixed price using the Individual module catalogue (section 9). Only if that is not possible does Luc review; this costs nothing, and the portal shows “waiting for Luc” (section 5). If the quote requires Luc's personal work, you first see the quarter hours and the price and decide for yourself. Anything with a backend is Individual.
4. How a change works
- You write your change in the portal. The agent asks follow-up questions if something is unclear.
- You see the fixed price before anything happens: included or a fixed amount.
- Work starts only after your yes. After your yes, the price no longer changes. The only exception is a wrong price, i.e. a price below CHF 40 or more than half below the price according to the catalogue or module catalogue for the quoted scope: in that case Sharpsoft corrects the quote until go-live and tells you by email and in the portal. You can reject the corrected quote within 10 working days without incurring any costs; the change then does not go online. This notice appears on every quote (GTC clause 12.3).
- Development (dev): The agent implements the change, automated tests check the entire website.
- Preview (test): Sharpsoft shows you the change in advance and notifies you by email and in the portal. It goes online when you approve it. If you do not respond within 10 working days, the change is deemed approved and goes online; after 5 working days Sharpsoft reminds you, and both notifications state the date and time of going live. A message from you to Sharpsoft holds the change. If you do not need the preview, you switch this step off in the portal (GTC clause 8.4).
- Online (prod): The change only goes onto your website after passing the tests.
- Each change includes two preview rounds. A third round is a new small change with the price in advance. If the result deviates from what was agreed, that is a defect and free of charge.
- Defects: You report obvious defects in a change within 14 days after going live, hidden defects immediately after their discovery; Sharpsoft fixes them free of charge. Defects can be reported up to 12 months after going live (GTC clause 8.4).
- Changes are implemented one after another, in the order of your acceptances.
- Cancelling: You can cancel any accepted change at any time, including a quoted large change and even after your yes. You only pay for the work already done, depending on progress: only follow-up questions, nothing built yet 0%; implementation in progress 50%; finished and tested, preview not yet shown 80%; preview shown 100% of the fixed price, in whole francs. “Preview shown” applies from Sharpsoft’s notification about the preview. You see the amount in the portal before you confirm the cancellation (GTC clause 4.2). This applies to changes in Basis and Plus and to changes at catalogue price. For the setup of your website in Basis and Plus and for the purchase of a website without operation, the stages do not apply: you only pay on approval, and cancelling before then costs nothing (sections 1 and 2). If you use the design, texts or code of the website after such a cancellation, you owe the full price of the setup (GTC clause 4.2). With Individual (setup, features, backend), the cancellation rule is set out in the respective quote.
- For new pages and quoted large changes, Sharpsoft may withdraw before going live, with reasons and at no cost to you; Sharpsoft refunds a price already paid.
- More for an extra charge is possible in every plan, always with the price in advance and only after your yes. There is no silent invoice and no lock-out.
5. How fast it goes
- The AI agents answer your request quickly as a rule.
- After your yes, the change is implemented, tested and made ready for your review.
- If Luc needs to review: If a change requires a review by Luc, he is notified immediately and usually gets back to you quickly. The portal then shows “waiting for Luc”. This costs nothing. If Luc's personal work is needed, you first see the quarter hours and the price and decide for yourself. If you say no, the change is dropped at no cost, or the agent offers what can be done without Luc.
- This is the normal case, not a contractual commitment: there is no SLA and no guaranteed response times. All plans work equally fast.
Interface for your own tools (REST API and MCP, in preparation): Everything you do in the portal can also be done via a REST interface and via an MCP server, for example from your own software or from your AI assistant: submit changes, answer follow-up questions, view and accept quotes, approve previews, retrieve invoices and the source code. To do so, you create API tokens in the portal, optionally read-only, and revoke them at any time. Included in all plans. The same prices and rules apply as in the portal: fixed price in advance, work only starts after your yes; whatever is done with your token counts as your declaration (GTC clause 3.4). Please do not send confidential data via the interface either. Whatever you send to the interface via your AI assistant is also seen by the provider of your assistant; its terms apply to that.
6. Billing quarter and prices in Basis
- Billing quarter: Your contract year starts on the day of going live and has four quarters of three months each, each starting on the same calendar day. Example: going live on 25 March, quarters 25.3.–24.6., 25.6.–24.9., 25.9.–24.12., 25.12.–24.3. All counters and invoices run on this grid.
- Price of a change in Basis, the time of your yes is decisive:
- The first 60 days: up to 16 small and medium changes free. The included small change of the first quarter remains unused during this time.
- Included: after that, the first small change of each quarter, not transferable.
- Catalogue price: all other changes, small CHF 40, medium CHF 120, new page CHF 190, no upper limit. New pages always cost CHF 190, even in the first 60 days.
- The quote always shows the price that applies at your yes. If it changes before then (e.g. because a new quarter begins), you see the new price before you say yes.
7. Plus: usual use and menu service
- Included: Basis, all modules (menu service, appointments, reservations, shop up to 500 products), further languages, small and medium changes, 1 new page per quarter (not transferable) and the monthly report (in preparation).
- Usual use: up to 24 small and medium changes per quarter. The counter is shown in the portal (“9 of 24 this quarter”). Beyond that, each further change costs CHF 30 (small) or CHF 90 (medium), each further new page CHF 150, always with the price in advance and after your yes. There is no lock-out and no automatic invoice.
- Menu service (in preparation): included in Plus, otherwise as a module for CHF 29 per month. You send your daily, weekly or seasonal menu, your menu card or price list as a photo, PDF or email. Every change to it is free of charge and goes online without a quote and without a preview, automatically tested, usually on the same day. In case of doubt, a change counts as a menu change. If the same message contains something else as well, the menu part is still free of charge and goes online at once; only the rest gets its price. Menus do not count towards usual use.
8. Switching between Basis and Plus
- Offer in the quote: If Plus pays off for you, the quote shows you two equivalent options side by side: order the change at the Basis price or switch to Plus (the change is then included). A line with your figures is added. This happens when your Basis changes of the last 3 months together with this quote reach CHF 272.25, or when you order a new page and the rest of the quarter in Plus costs less than CHF 190. This note appears at most once per quote, without email and without reminder.
- Note on the quarterly invoice: If you would have saved with Plus, the quarterly overview states “With Plus you would have saved CHF X this quarter. You can switch at any time.” There is no automatic discount.
- Basis to Plus: at any time. Plus starts on the day of the switch. The first invoice covers the rest of the current quarter pro rata: CHF 272.25 × remaining share, at least one month (CHF 90.75). The CHF 24.75 per quarter are your already paid Basis year; they are credited as long as it runs, but not paid out. Changes already paid for are not charged again retroactively. With booked modules the switch is in preparation; until then you end the modules first.
- Plus to Basis: at the end of any quarter, by click in the portal (in preparation, until then in text form) up to the last day of the quarter. The modules from the offer and further 1'000 products continue individually at their price. If your paid Basis year is still running, Basis costs nothing more until the anniversary date; otherwise CHF 24.75 per quarter until the next anniversary date, then CHF 99 per year. Modules cost their price from the switch. A new fixed year does not begin.
- Season: Plus in summer, Basis in winter is allowed.
- Plus annually (CHF 1'188): from the start of a contract year; the switch to Basis then takes effect at the end of the paid year.
9. Individual
For solutions with a backend and database of their own: custom logic, logins, interfaces to other systems and migrations of legacy systems. A shop or a booking system is Individual only when it needs a backend or database of its own, for example for an integration with the merchandise management system, customer accounts, B2B prices or delivery abroad; otherwise the Shop module (in preparation), the Appointments module (in preparation) and the Reservations module (in preparation) cover it.
Fixed-price quote:
- Setup: sum of modules × complexity factor K, + 15% risk surcharge for a legacy system or migration without paid analysis, rounded to CHF 10.
- Complexity factor K: 1.0 standard; 1.2 for many variants or roles (several user roles, custom booking or pricing rules, products with variants); 1.4 for a legacy system without a documented interface. The highest applicable value applies. Language never counts via K, only as a module.
- Analysis phase: fixed price CHF 490 (without legacy system) or CHF 990 (with legacy system). Result: requirements, interface description and fixed-price quote; you receive the rights to it. Fully credited if the order follows within 3 months. Recommended from K 1.4 or for a setup above CHF 8'000. The analysis removes the risk surcharge.
- Cancellation: The cancellation rule for the setup and for quotes for features is set out in the respective quote. Changes at catalogue price follow the stages in section 4.
- Luc review: Luc's review during the project (architecture, acceptance of milestones) is listed separately in the quote, as quarter hours × CHF 40, only with your consent.
- Milestones and payment: 30% on acceptance, 40% on acceptance of the first milestone in the test environment, 30% on acceptance of the finished solution. Below CHF 3'000 (without Luc review): 50 / 50. A paid analysis is deducted from the first instalment.

10. Personal work by Luc and phone
- Only if you want it: Personal work only happens if you book it in the portal (“Personal review by Luc”, “Call with Luc”) or agree to a proposal with quarter hours and price. Typical cases are Individual, a legacy system, a change outside the catalogue or a complaint.
- Price: CHF 160 per hour, billed per quarter hour or part thereof (CHF 40), also on site, on the phone and for travel time. Never included in any other price. Not around the clock.
- Phone: Before the contract is concluded, calls of up to 30 minutes are part of the quote and cost nothing. After that, phone calls with Luc are personal work, booked or agreed in advance.
- Language: portal, quotes and invoices in German or French. Luc personally replies in German or English, in writing, except in calls before the contract is concluded (up to 30 minutes) or if you book a call.
11. Operation, email and domain
Operation (all plans):
- Where your website runs: on a server that Sharpsoft operates itself, in Germany. If you want a guaranteed location in Switzerland, Sharpsoft is happy to arrange it; this is more expensive and quoted individually. A change of server costs you nothing, your domain and address stay the same. You can see where your website runs in the handover information (in preparation; until then on request). Sharpsoft stores form entries on the platform's server in Switzerland until the data service for the websites is ready; orders, and from then on form entries too, it stores separately from the platform, in a dedicated data service (in preparation, expected mid-November 2026) on the websites' server (Annex clause 1.1).
- HTTPS certificate with renewal.
- Daily backup, separate from the server, kept for at least 14 days; the code is also in your repository at all times.
- Automatic updates and fixing of security vulnerabilities, about once a month, for critical vulnerabilities usually within 7 days. Every update is automatically tested on dev and normally then automatically rolled out to prod. You can switch this off in the portal (opt-out); each update then waits on test until you approve it. Included in all plans, even major updates (e.g. a new major version of a framework including the necessary rework); never counts as a change. This keeps your website up to date.
- Monitoring with automatic restart around the clock.
- Best effort: no guaranteed availability, no SLA, no contractual penalty.
Traffic: Normal traffic is included in the plan price; with Individual, the infrastructure tier in the quote applies.
Email: Sharpsoft does not host email. Before the switch-over, Sharpsoft shows you where your email is currently hosted. Your addresses only keep working if your existing email service remains in place. If your email is with your current web host, you keep a pure email package there (usually CHF 2–5 per month) or switch to Google Workspace (price as per Google). You pay the costs directly to the provider. Sharpsoft only sets the DNS records (MX, SPF, DKIM, DMARC), included in the setup; a later change to them is a small change.
DNS through Cloudflare (recommended): So that Sharpsoft can change your website's address itself at any time (for example when the server changes or in an emergency), you switch the nameservers at your registrar once to the two Cloudflare nameservers the portal names. The domain stays in your name. Sharpsoft first copies every existing record (including those for email) and shows them to you. This is included. Without Cloudflare: You keep your current DNS and set the website's records yourself. This costs a surcharge of CHF 5 per month (CHF 60 per year, billed with the plan period). When the server changes or in an emergency, Sharpsoft then cannot switch the records itself and makes no availability promise for this part: you change them, and because DNS servers keep the old records cached for a while (TTL), the switchover can take hours; until then, your website may be unreachable. A change between Cloudflare and your own DNS applies from the next plan period not yet billed; a period already billed stays as it is.
Domain: It is registered in your name. Your registrar's fee (approx. CHF 10–20 per year) is not included.
12. The source code and exit
You receive the complete source code of your website with instructions and may use it without restriction, change it and have it further developed by any IT service provider (GTC clause 9). You are never tied to Sharpsoft.
- The entire source code is always on GitHub. In addition, you can download it at any time in the portal, or Sharpsoft gives you and your IT people access on GitHub (read access to the main branch and Sharpsoft’s working branches). Download and read access are in preparation; until then you receive the source code including version history free of charge on request (GTC clause 4.1).
- It is one repository with everything that belongs to your website: code, texts, images, tests, instructions for build and deployment, list of third-party licences. With Individual also backend code, database schema and the configuration for deployment; you can download the data export (database and files) at any time in the portal (in preparation; until then on request).
- Handover information (in preparation; until then on request): In the portal you can see at any time everything you need for an immediate switch without Sharpsoft: repository and GitHub access, domain and DNS details, instructions for build and deployment, data export, description of the hosting and a list of third-party services and accounts in your name. The same information is also stored in your GitHub repository (instructions and handover file), so that it remains available even if the portal cannot be reached.
- Exit: Sharpsoft transfers the repository to your GitHub account and, on request, switches the DNS records to the new provider. Transfer, data export and DNS switch-over are free of charge. Further help with the move costs CHF 40 per quarter hour or part thereof, only with your consent and with the price in advance. There is no exit fee and no clawback. You receive the orders of a shop as CSV and PDF; the statutory duty to keep them remains with you. Sharpsoft retains its own invoices to you and its own accounting records for 10 years as required by law. You can request the deletion of the other data where no statutory retention obligation applies.
- If Sharpsoft shuts down: Notice at least 3 months in advance; hosting then continues for at least 6 months, changes in the first 3 months as usual; you get back prepaid time no longer provided pro rata. The move is normally free of charge, for websites with and without a backend. If additional effort arises, it is charged after prior agreement at CHF 40 per quarter hour or part thereof. If Luc dies or is permanently incapacitated, everything keeps running as long as possible; a person designated by Luc informs you and asks you to move as quickly as possible. With the handover information this can be done immediately; there is then no fixed deadline. You also get back prepaid time no longer provided pro rata in that case (GTC clause 13.5).
- Not included: Sharpsoft's own platform (portal, agents), its server and provider accounts and secrets such as passwords. You receive a list of the required settings.
Footer: “Website by sharpsoft.ch” with a link, as long as Sharpsoft operates the website; without the notice for a surcharge as quoted (GTC clause 9.5). After switching to another host you may remove it; on request Sharpsoft removes it before the handover.
13. Payment
- Payment method: QR-bill (30 days net), without surcharge; the payee stated on it is Luc Baumann, the owner of Sharpsoft. Booked personal work is payable upon booking. The Basis year, the modules and Plus in advance by QR-bill; changes at your yes or collected on the quarterly invoice, as you choose in the portal. Sharpsoft announces further payment methods such as card or TWINT in advance, likewise without surcharge.
- Late payment (days after due date): payment reminder after 5 days, first and second formal reminder after 20 and 35 days. Invoices, payment reminders and formal reminders always arrive by email and in the portal; you cannot unsubscribe from them, nor from the email with your access link. You can unsubscribe from all other emails. From the first formal reminder onwards, new changes are only implemented after payment. After that, following an announced deadline, a temporary switch-off takes place in accordance with the GTC, with a neutral page (“This website is temporarily unavailable”), only for undisputed claims: if you have disputed an invoice with reasons, there is neither a notice banner nor a switch-off until this has been resolved (GTC clause 7.7). The website never mentions a payment or a debt. After payment, the website goes live again. You always keep access to the code and your domain.
14. Term, termination and price adjustment
No plan has a minimum term. Payment is made in advance:
- Basis: one year; renews for one year at a time.
- Plus: one quarter (Plus annually: one year); renews for the same period at a time. You can switch to Basis at the end of any quarter.
- Modules: with the plan, a yearly module annually, the menu service quarterly. You can end each module on its own at any time; Sharpsoft refunds pro rata what was paid for the time after.
- Individual: one quarter; renews for one quarter at a time.
- Termination at any time: You can terminate any plan at any time, without giving reasons, with effect from the date you choose, in text form or by click in the portal (in preparation, until then in text form); without a date, it ends at the end of the paid period. At the end of the plan Sharpsoft switches off the website, and you receive your repository (section 12). You owe nothing more for the time thereafter. The setup is a separate order and remains owed (GTC clause 13.2).
- Refund: Sharpsoft refunds pro rata any amount already paid for the time after the end of the contract, within 30 days, for every termination. For the first Basis year, the plan’s share of the package price counts (CHF 99).
- Termination by Sharpsoft: with 30 days’ notice, so that you can move; Sharpsoft then also refunds pro rata and hands everything over to you (section 12). In a dispute about an invoice or a service, Sharpsoft may waive the disputed claim and end the contract in this way.
- Price adjustment: with 3 months' notice; you can terminate at any time. Accepted fixed prices do not change (except in the case of a wrong price, section 4).
15. Referral
If a Customer recommends Sharpsoft, it receives a CHF 50 credit on the next invoice as soon as the recommended business has paid its first invoice. The credit is not paid out (GTC clause 7.5).
16. Not included
- Email hosting, mailboxes, migration of old emails and setup of devices (mailbox and devices only as personal work on booking).
- AI agents, chatbots and AI assistants on your website or in your solution, including embedded third-party chatbot services. Sharpsoft declines such orders. Its own agents work internally only.
- Custom design (new layout of the whole website): only as a large change by fixed-price quote.
- Legal texts: The legal notice is created from your details. For the privacy policy you receive a template with the paragraph on hosting and, for a shop, a template for the order terms, which you check, complete and approve; with Individual, the module “Legal” is available as a template. No legal advice.
- WordPress and other CMS.
- Domain fees and fees for third-party services.
- Guarantees regarding Google rankings, visitor numbers, response times or availability.
